Robinsons Retail delisting approved, final exit date Set for Aug. 31

The Philippine Stock Exchange (PSE) approved the petition for voluntary delisting filed by Robinsons Retail Holdings Inc. (RRHI), setting Aug. 31, 2026, as the official date the firm’s shares will be removed from the local bourse.
Trading of RRHI shares has actually been suspended since July 14, 2026. The PSE halted trading after a tender offer by the Gokongwei family’s JE Holdings, Inc. reduced RRHI’s public float to just 0.31 percent—well below the PSE’s 20 percent minimum public ownership requirement.
The Gokongweis launched the tender offer to buy out small shareholders and provide minority investors an exit route ahead of the voluntary delisting.
With trading suspended, minority investors who still hold RRHI stock are effectively locked in, leaving them no way to sell their shares through the exchange. Once the stock is delisted, shareholders can still sell off-market, but they must find their own buyers.
Furthermore, off-exchange transactions forfeit the advantages enjoyed by public companies. Sellers lose access to lower transaction taxes—such as the stock transaction tax instead of much higher capital gains taxes and documentary stamp taxes—and face significantly more administrative paperwork.
RRHI first announced the Tender Offer Report from JE Holdings on March 27, 2026, running the offer period from May 25 to July 6, 2026. The company disclosed the final results on July 7, and the tendered shares were crossed via a block sale on the PSE’s facilities on July 13, 2026. (James A. Loyola)
