Capital hates surprises: Why regulatory certainty matters

As global capital and high-technology supply chains undergo an unprecedented geopolitical realignment, the Philippines faces a golden opportunity to position itself as a preferred destination for innovative business models and investments. From a nation viewed primarily as a global BPO powerhouse, a secondary assembly hub, and very much dependent on OFW remittances, its ambition is evolving: To become a regional leader in high-value innovation, deep-tech investment, and advanced manufacturing.
The momentum is real. The country’s accession to the Pax Silica initiative led by the US—symbolized by the proposed 4,000-acre Economic Security Zone and semiconductor/AI hub in New Clark City within the Luzon Economic Corridor—signals that major global powers view the Philippines as a trusted node in the global tech supply chain.
This strategic positioning is further enhanced by the nation’s greatest asset: its demographic dividend. While neighboring economies contend with rapidly aging populations and contracting labor pools, the Philippines boasts a young, tech-adaptable, English-proficient workforce with a median age of roughly 25. The AI era demands constant talent regeneration; this demographic profile is a formidable competitive advantage.
Yet one critical weakness continues to hold us back: regulatory uncertainty. Capital hates surprises. For all the competitiveness initiatives to succeed, regulatory certainty must be treated as a strategic priority. Global investors do not judge an economy solely by the promises made in investment roadshows; they judge it by the operational friction they encounter on the ground. When regulatory rules are shifting, ambiguous, or inconsistently enforced, the perceived risk spikes, forcing investors to divert capital elsewhere.
Investors in semiconductors or AI infrastructure will not commit billions if they fear rules will shift midstream. Pax Silica can only deliver its promise if paired with reforms that harmonize national and local regulations, streamline permitting, and guarantee the credibility of incentives. They want assurance that the rules of the game will not change midstream and that national policies will not be diluted by conflicting local government regulations. Without this certainty, even the most promising opportunities can be overshadowed by risk.
A constitutional tension exists between national Investment Promotion Agencies such as PEZA and BOI and LGUs exercising fiscal autonomy under the Local Government Code. Foreign locators operating under national tax exemptions frequently face localized business tax assessments, delayed permit renewals, or conflicting local ordinances. This jurisdictional fragmentation erodes investor trust.
In addition, in the emerging tech and gig-economy sectors, sudden policy changes—such as mandating the elimination of transaction fees for FinTech startups or rigid fleet capping in the motorcycle taxi space—create operational and business planning bottlenecks. When platforms face arbitrary shifts that restrict market liquidity and driver choice, it signals to the broader tech ecosystem that innovation can be sidelined by administrative decrees.
In his most recent SONA, the President articulated a clear resolve to improve the country’s competitiveness. He highlighted infrastructure acceleration, digital transformation, and investment promotion as pillars of the national agenda. These commitments are encouraging, but they must be matched by concrete action to address regulatory uncertainty.
The SONA’s emphasis on competitiveness provides a mandate: to ensure that national reforms are not undermined by fragmented implementation at the local level, and that industries critical to innovation—like IT-BPM, FinTech, and mobility platforms—operate under stable, predictable rules.
To solidify its status as an innovation capital, the government must pair its grand industrial strategies with rigorous regulatory discipline. The implementation of Joint Memorandum Circulars—such as the Registered Business Enterprise Local Tax (RBELT) framework under CREATE MORE—must be strictly enforced. The national government must clearly delineate LGU taxing boundaries to prevent local ordinances from undermining national economic zone charters.
Whole-of-government regulatory impact assessments and the use of sandboxes must be institutionalized before regulatory bodies can enact major circulars. These facilities should evaluate market liquidity, competition, safety, and investor confidence. Sudden policy mandates must give way to transparent, data-driven public consultations.
Red tape thrives in manual, discretionary processes. Implementing end-to-end digital permitting platforms that link national portals directly to municipal LGUs can eliminate arbitrary delays and lower compliance costs. Also, investors in capital-intensive sectors—such as semiconductor fabrication, data centers, and renewable energy—operate on 10- to 20-year horizons. Establishing binding grandfathering clauses and long-term policy roadmaps will reassure investors that their contracts will survive political transitions.
The President’s SONA has set the tone. The Pax Silica initiative proves that international capital is eager to partner with the country. But vision alone cannot build high-tech supply chains. The challenge now is to harmonize rules, enforce consistency, and embed regulatory certainty as a cornerstone of competitiveness. Only then can the Philippines fully unlock its demographic dividend, attract capital for new business models, and ensure that global capital does not just arrive—it stays, scales, and transforms the economy for generations to come.
