SEC launches consolidated digital guide to securities rules
The Securities and Exchange Commission (SEC) has published a user-friendly digital compilation of its latest rules and regulatory updates to simplify public access to the country’s securities regulations.
The commission called the published material the Annotated Consolidated Reference of the 2015 Implementing Rules and Regulations (IRR) of Republic Act (RA) No. 8799, or the Securities Regulation Code (SRC).
The digital document integrates all regulatory updates from 2000 to 2026 into a centralized, publicly accessible reference.

Enacted in 2000, the SRC empowers the commission to regulate and promote the capital market, protect investors against fraudulent and manipulative practices, as well as ensure transparency in securities disclosures.
Since the rollout of the 2015 SRC IRR, the SEC has released more than 60 memorandum circulars (MCs) and other issuances to address evolving market conditions and align local policies with international best practices, resulting in various clarifications and amendments to the existing regulatory framework.
“The continuing evolution of the capital market requires regulations that are not only responsive and robust, but also accessible and easy to navigate,” SEC Chairperson Francis Lim said.
He noted that “while the 2015 SRC IRR has been progressively enhanced over time, we acknowledge that the current volume of updates necessitates a centralized, digital-ready reference.”
“Through the Annotated 2015 SRC IRR, we seek to provide our stakeholders—especially legal practitioners and the investing public—with a complete and historically accurate resource that promotes regulatory clarity and ease of compliance,” Lim added.
The Annotated Consolidated Reference consists of two documents: the Annotated 2015 SRC IRR and the Reference Index.
The Annotated 2015 SRC IRR adopts the SRC IRR structure and directly integrates all identified amendments into the relevant provisions.
The MCs that do not introduce amendments but provide operational guidance, special rules, or forms are referenced in footnotes.
Meanwhile, the Reference Index categorizes all integrated MCs by subject matter, issuance number, and the SRC rule to which they pertain, providing users with a quick cross-reference tool.
Designed as a living document, the Annotated 2015 SRC IRR will be updated regularly with new and amendatory rules to ensure its accuracy and reliability.
