Vitarich to pay ₱280 million for Davao farms in poultry expansion
Poultry and feed producer Vitarich Corp. finalized its ₱280 million acquisition of breeder farm facilities in Davao del Sur, a move designed to insulate the company from supply chain volatility and lower its production costs.
In a disclosure to the Philippine Stock Exchange on Friday, Feb. 20, Vitarich said it completed its due diligence review for the purchase of Broilers Club Inc. (BCI).
The deal is expected to increase Vitarich’s total breeder output by eight percent, providing a more stable source of broiler chicks for its nationwide operations.
Under the terms of the agreement, Vitarich is acquiring 100 percent of BCI through the purchase of 125,000 common shares. The transaction also includes the settlement of BCI shareholders’ advances and the acquisition of tangible assets including land, equipment, and existing farm improvements.
Vitarich structured the ₱280 million total consideration into several tranches. The equity portion consists of ₱95 million for the shares, priced at ₱760 each. An additional ₱130 million is allocated to purchase the advances made by BCI shareholders, while ₱25 million is designated for land currently registered under the names of two BCI shareholders. The remaining ₱30 million will be used to extinguish BCI’s outstanding bank loan balance tied to one of its properties.
Payment for the acquisition follows a structured timeline. Vitarich has already disbursed ₱10 million as option money. Upon the formal closing of the transaction, the company will pay ₱140 million. The final ₱130 million is scheduled for payment post-closing, contingent on the successful transfer of the shares and land titles to Vitarich’s name.
BCI, which also operates under the name Southern Sunrise Agriventures, was established in 2018 to focus on poultry and egg production. The primary asset in the deal is a 46,360-square-meter parcel of land in Barangay Darong, Sta. Cruz.
BCI originally acquired the site to produce hatching eggs for poultry aggregators, making it a strategic fit for Vitarich’s efforts to integrate its supply chain vertically.
