Filinvest Land to dissolve unit as Clark Mall development consolidates
Filinvest Land Inc., the property arm of the Gotianun family’s conglomerate, is shuttering a wholly owned subsidiary to streamline its corporate structure as development of its flagship mall in Clark remains on track under a separate unit.
In a disclosure to the Philippine Stock Exchange, Filinvest Land said the developer applied with the Securities and Exchange Commission (SEC) to shorten the corporate term of Filinvest Lifemalls Mimosa Inc.
The company said the was was part of its rationalization effort, noting that the entity currently holds no assets, maintains no operations, and has no registered employees.
The decision to dissolve the unit follows a strategic review of the group’s internal organization.
Tristan Las Marias, Filinvest Land president and chief executive officer, said the closure allows the company to focus its resources on subsidiaries that are actively driving value.
He noted that the administrative step is intended to ensure that every entity within the Filinvest Land group remains aligned with long-term growth objectives and operational efficiency.
Despite the corporate dissolution of the Lifemalls unit, Filinvest Land assured investors that work on the Mimosa Lifestyle Mall, also referred to as Filinvest Mall Mimosa, will continue without interruption.
The development of the retail hub is being managed by another subsidiary, Filinvest Clark Mimosa Inc., which owns and will eventually operate the property.
The mall is currently under construction within the Filinvest Mimosa+ estate, a sprawling integrated development in the Clark Freeport Zone. Filinvest Land expects the project to open its doors in 2026.
Once completed, the facility is designed to serve as a commercial anchor for the estate, featuring a mix of dining outlets, retail stores, and wellness establishments.
The consolidation comes as Philippine developers seek to optimize their portfolios amid a competitive landscape for integrated townships outside of Metro Manila.
By housing the mall project under Filinvest Clark Mimosa Inc., the group centralizes its oversight of the Clark-based assets.
Las Marias noted that the project remains a priority for the firm, describing it as a modern lifestyle environment meant to elevate the commercial support for the broader community in the region.
