IMI sells majority stake in VIA Optronics via management buyout

Integrated Micro-Electronics Inc. (IMI), the manufacturing arm of the Ayala Group, has divested its majority stake in subsidiary VIA Optronics Holding AG through a management buyout.
In a disclosure to the Philippine Stock Exchange, IMI said that its wholly-owned subsidiary Coöperatief IMI Europe U.A. sold its 50.32 percent stake in VIA Optronics to Kronen 3140 GmbH, which will be renamed V-PTR Beteiligungs GmbH.
The buyer is owned by certain members of VIA's management and advisory team.
IMI said the move is part of its portfolio realignment efforts aimed at boosting profitability through downsizing and cost management.
“The parties have agreed to a consideration structure with both fixed and post-closing variable earn-out components,” IMI said. An initial upfront cash payment of €250,000 will be made prior to the transaction’s closing.
The company explained the “strategic divestment is part of IMI’s portfolio realignment strategy which aims to sharpen the company’s focus on its core strengths in the automotive and industrial Electronics Manufacturing Services (EMS) sectors.”
The transaction is expected to optimize IMI’s global footprint, allowing it to concentrate capital and management allocation into high-growth, high-profitability markets.
Specifically, the divestment will reduce IMI’s overhead and administrative expenses, decrease its consolidated net debt, and increase management focus on core businesses.
IMI noted that VIA, a leading provider of interactive display solutions, will benefit from the increased focus of a management-led ownership structure. This structure is expected to offer greater flexibility for VIA to seek strategic partners aligned with its long-term growth and profitability goals.
“VIA’s leadership team is well positioned to drive future innovation and adapt to the unique challenges of its market,” IMI added.
VIA specializes in customizable interactive display solutions—combining displays, touch functionality, cameras, and hardware—for multiple end markets where superior durability and functionality are critical, such as those facing bright ambient light, vibration, and extreme temperatures.
