Two separate stockholders’ meetings and board elections were held for Yanson-owned bus companies, GoldStar Bus Transport Inc. and Ceres Transport, Inc., in Batangas City last Monday. 

The Bacolod-based Yanson family, who is behind the biggest bus company in Asia, is currently divided into two groups.

One group, consisting of Roy, Emily, Ricardo and Ma. Lourdes Celina Yanson, also known as Yanson Four, claim to have majority ownership. The other group, called the Yanson Two, is composed of siblings Leo Rey and Ginette, together with their mother, family matriarch Olivia Yanson.

The Yanson Four held the stockholders’ meeting for Ceres with shareholders representing 61.11 percent of the outstanding capital stock of the corporation in attendance while a separate meeting for Goldstar had 98 percent of shareholders represented.

Anna Isabella Galvez presided over both meetings as proxy for Ceres Chairman and President Ricardo Yanson, Jr.

For both firms, siblings Roy Yanson, Emily Yanson, Ma. Lourdes Celina Lopez and Ricardo Yanson, Jr. as well as Jerina Louise Ramos and Matthew Agustine Lopez were reelected by the shareholders as members of the Board of Directors of the corporation for the year 2021 to 2022.

The shareholders also ratified all acts and transactions of the Board of Directors and management of the corporation under the leadership of Ricardo Yanson.

In the organizational meetings that followed, the newly elected directors elected for both companies Ricardo Yanson as Chairman and President; Roy Yanson as Vice-President for Operations; Ma. Lourdes Celina Lopez as Treasurer and CFO; Emily Yanson as Corporate Secretary; Anna Isabella Galvez as Assistant Corporate Secretary, and Carlo Joaquin Narvasa as Pice-President for Legal.

The new directors of the company vowed “to continue court actions to unravel minority shareholders’ activities and their pretense to act on behalf of the company despite the absence of any legal basis for them to do so.”

Speaking on behalf of the Yanson Four, Narvasa said 61.18 percent of the company’s outstanding capital stock are registered in the names of his clients. This is reflected in the firm’s records before the Securities and Exchange Commission, he explained.

Meanwhile,Yanson Two’s Chairman and President for the Yanson Group of Bus Companies Leo Rey Yanson said:  “The group remains committed to providing the riding public with the most reliable means of public transportation.”

He has been named Chairman and President of Ceres and Goldstar in separate meetings also held on February 01 where family matriarch Olivia V. Yanson was likewise re-elected Corporate Secretary and Treasurer.

During the meeting of Goldstar held by Yanson Two, Leo Rey V. Yanson, Ginnette Y. Dumancas, Atty. Collin Derk Y. Isidto, Hernan B. Omecillo, and Danny O. Lorenton were re-elected as members of GBTI’s Board of Directors. On the other hand, during the meeting of Ceres, Ginnette Y. Dumancas, Leo Rey V. Yanson, Olivia V. Yanson, Charles M. Dumancas, Rey C. Ardo, Daniel Nicolas P. Golez, Arvin V. Villaruel, Anita G. Chua, Joseph Ellery L. Villanueva, Hernan B. Omecillo, and Alfredo O. Ligo, were re-elected as members of CTI’s Board of Directors.
